Terms of Service

These Terms of Service (“Terms”) govern access to and use of the AyurVista platform (the “Service”) operated by AyurVista Pte. Ltd. (“AyurVista”, “we”,“us”). By creating an account or using the Service, you (“Customer”, “you”) agree to these Terms.
1. The Service
AyurVista provides clinic management software for Ayurveda practices — including but not limited to patient records, appointments, prescriptions, inventory, billing, and AI-assisted features (collectively the “Service”).
AyurVista is not a medical device. AI-generated outputs (e.g. prescription suggestions, clinical summaries, anomaly narratives) are decision-support tools only. All clinical decisions remain the responsibility of the licensed practitioner.
2. Account & Eligibility
You must be at least 18 years old and authorised to operate a registered Ayurvedic clinic, hospital, or wellness centre in your jurisdiction. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
3. Data & Privacy
Your clinic remains the Data Controller for all patient personal information processed through the Service. AyurVista acts as the Data Processor on your behalf. We process personal data only as necessary to provide the Service and only as instructed by you.

4. AI-assisted Features
- Review-gated by default. Prescription suggestions, voice-to-SOAP structuring, and other clinical AI outputs are always presented to the practitioner for explicit review before being saved or sent to a patient.
- No fabrication. AI prompts forbid invention of vitals, lab values, or examination findings not present in the input.
- Audit trail. Every AI call writes a row to an audit table with transcript, structured output, tokens used, and cost.
- You retain professional judgement. AyurVista does not replace the practitioner-patient relationship. You are responsible for all clinical decisions.
5. Acceptable Use
You agree not to:
- Reverse engineer, decompile, or attempt to extract source code from the Service;
- Resell, sublicense, or share access with users outside your clinic without our written consent;
- Use the Service to send unsolicited messages (spam) or violate WhatsApp / Meta Business policies;
- Upload content that infringes third-party rights or violates applicable law;
- Probe for vulnerabilities other than under a documented bug-bounty disclosure.
6. Fees
Subscription fees are billed monthly or annually based on the plan selected. Usage-based fees (e.g. AI tokens consumed, WhatsApp message volume) are invoiced in arrears. Failure to pay may result in account suspension after 14 days' notice.
7. Service Levels
We target 99.5% monthly uptime, excluding scheduled maintenance windows (announced via the status page). Critical patient safety incidents are triaged on a best-effort basis 24/7; non-critical issues during business hours (Singapore time).
8. Confidentiality
Both parties will protect each other's Confidential Information with the same degree of care used to protect their own, and not less than reasonable care. Patient health information is treated with the highest confidentiality and is encrypted in transit and at rest.
9. Term & Termination
You may cancel at any time from Settings → Billing. We may terminate or suspend the Service for material breach (with 30 days' notice and opportunity to cure) or immediately for security/legal reasons. On termination you may export all your data for 30 days, after which we will delete it.
10. Limitation of Liability
To the maximum extent permitted by law, AyurVista's aggregate liability under these Terms is limited to fees paid by you in the 12 months preceding the claim. Neither party is liable for indirect, consequential, or punitive damages.
11. Indemnification
You agree to indemnify AyurVista against claims arising from (a) your use of the Service in breach of these Terms, (b) the content you upload, or (c) the clinical decisions you make based on AI-assisted outputs.
12. Governing Law
These Terms are governed by the laws of Singapore. Disputes will be resolved by the Singapore International Arbitration Centre (SIAC) under its prevailing rules.
13. Changes
We may update these Terms with at least 30 days' advance notice for material changes. Continued use of the Service after the notice period constitutes acceptance.
